1.1 Agreement Overview
These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StablePro Wallet Inc., a Montana corporation ("Company," "we," "us," or "our"), governing your access to and use of the StablePro Wallet application, software, and related services (collectively, the "Wallet" or "Services").
The StablePro Wallet is a non-custodial digital asset wallet designed to provide secure digital asset management, transaction capabilities, and interaction with decentralized applications across supported blockchain networks.
1.2 Acceptance of Terms
By downloading, installing, accessing, or using the StablePro Wallet, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Wallet.
Your continued use of the Wallet following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting.
1.3 Eligibility Requirements
To use the StablePro Wallet, you must: (a) be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into a binding agreement; (c) not be a resident of, or located in, any jurisdiction where the use of digital asset wallets or blockchain technology is prohibited or restricted by law; (d) not be listed on any government sanctions list or identified as a specially designated national; and (e) comply with all applicable laws and regulations in your jurisdiction.
2. Definitions
For purposes of this Agreement, the following terms shall have the meanings set forth below:
"Supported Blockchain Networks" means the distributed ledger technology networks supported by the Wallet, including all associated protocols, consensus mechanisms, and smart contract functionality.
"Digital Assets" means any digital representation of value or rights that may be transferred and stored electronically using distributed ledger technology, including but not limited to cryptocurrencies, tokens, stablecoins, non-fungible tokens (NFTs), and any other blockchain-based assets supported by the Wallet.
"Private Keys" means the cryptographic keys that provide access to and control over Digital Assets stored in your Wallet, including seed phrases, recovery phrases, and any other authentication credentials.
"Smart Contracts" means any self-executing code deployed on any blockchain network that the user interacts with through the Wallet, which automatically executes predetermined actions when specified conditions are met.
"Transaction" means any transfer, exchange, swap, or other movement of Digital Assets initiated through the Wallet, including interactions with Smart Contracts and decentralized applications.
"Wallet Address" means the unique alphanumeric identifier associated with your Wallet that serves as your public address on a Supported Blockchain Network for receiving Digital Assets.
3. Wallet Services and Functionality
3.1 Description of Services
The StablePro Wallet provides the following core functionalities: (a) secure storage and management of Digital Assets on Supported Blockchain Networks; (b) sending and receiving Digital Assets to and from other wallet addresses; (c) interaction with Smart Contracts and decentralized applications; (d) transaction history viewing and management; (e) multi-signature support for enhanced security; (f) integration with hardware wallets; and (g) cross-chain bridge functionality where supported.
3.2 Non-Custodial Nature
The StablePro Wallet is a non-custodial wallet. This means that you, and only you, have control over your Private Keys and Digital Assets. We do not have access to, custody of, or control over your Private Keys, seed phrases, or Digital Assets. You are solely responsible for the security and management of your Private Keys and any Digital Assets associated with your Wallet.
3.3 Supported Assets and Networks
The Wallet supports Digital Assets on Supported Blockchain Networks and, where applicable, assets bridged from other compatible networks. The list of supported assets and networks may change from time to time at our sole discretion. We do not guarantee support for any particular Digital Asset or network, and the addition or removal of supported assets or networks does not require prior notice.
3.4 Transaction Processing
The Wallet enables you to sign Transactions using your Private Keys. You understand that we do not operate any blockchain protocol, and we do not approve, process, or execute blockchain Transactions on your behalf. When you use the Wallet to initiate a Transaction, the Wallet facilitates the cryptographic signing of the Transaction data using your Private Keys. The signed Transaction is then submitted to the blockchain network through Remote Procedure Call (RPC) providers for validation and inclusion in a block.
You alone are responsible for any Transactions that you engage in using the Wallet. Transaction confirmation times depend on network conditions, transaction fees selected, validator availability, and other factors beyond our control. We do not guarantee Transaction confirmation times, successful Transaction execution, or the performance of any RPC provider or blockchain network.
All Transactions are subject to applicable network fees ("gas fees"), which are determined by the blockchain protocol and paid to network validators. These fees are not set by us and are not retained by us. You are responsible for ensuring sufficient funds to cover Transaction fees before initiating any Transaction. You understand that the cost and speed of blockchain-based systems is variable and may increase dramatically at any time.
3.5 Fees and Charges
The Company charges a service fee of 0.7% on all Transactions conducted through the Wallet ("Service Fee"). This fee applies to swaps, bridges, and any other value transfer initiated through the Wallet.
In addition to the Service Fee, you are responsible for all third-party fees incurred in connection with your Transactions. These fees are passed through to you at cost with no markup and may include: (a) network gas fees paid to blockchain validators; (b) bridge provider fees paid to underlying bridge protocols; (c) liquidity provider fees; (d) RPC provider fees where applicable; and (e) any other fees charged by third-party service providers.
By accepting these Terms and using the Wallet, you acknowledge and agree that the Service Fee of 0.7% and all applicable third-party fees will be automatically deducted from your Transactions. You may view Transaction details, including fees paid, by consulting the relevant blockchain explorer for the network on which your Transaction was processed.
We reserve the right to modify the Service Fee at any time. Changes to the Service Fee will be communicated through the Wallet interface, our website, or other reasonable means prior to taking effect. Your continued use of the Wallet after any fee change constitutes acceptance of the modified fees.
4. User Responsibilities and Obligations
4.1 Security Obligations
You are solely responsible for: (a) maintaining the confidentiality and security of your Private Keys, seed phrases, and any passwords or PINs associated with the Wallet; (b) implementing appropriate security measures on any device used to access the Wallet; (c) ensuring that no unauthorized person has access to your Wallet or authentication credentials; (d) promptly notifying us of any suspected unauthorized access or security breach; and (e) maintaining secure backup copies of your Private Keys and seed phrases.
4.2 Compliance Obligations
You agree to: (a) comply with all applicable laws, regulations, and rules in your jurisdiction, including but not limited to anti-money laundering (AML) laws, know-your-customer (KYC) requirements, tax laws, and sanctions regulations; (b) not use the Wallet for any illegal, fraudulent, or unauthorized purpose; (c) not use the Wallet to engage in market manipulation, wash trading, or any other prohibited trading activity; (d) accurately report all taxable events arising from your use of the Wallet to relevant tax authorities; and (e) cooperate with any regulatory investigation or inquiry related to your use of the Wallet.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE WALLET SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE AMOUNT YOU PAID TO US, IF ANY, FOR USE OF THE WALLET IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The arbitration shall be conducted by a single arbitrator.
9.3 Arbitration Location and Remote Participation
The arbitration may be conducted: (a) in Wilmington, Delaware; (b) in the county where you reside; or (c) by videoconference or telephone, at the election of either party. You and the Company agree that either party may participate in arbitration proceedings remotely via videoconference, telephone, or other electronic means, and that such remote participation shall be deemed equivalent to in-person appearance for all purposes under these Terms and applicable arbitration rules.
9.4 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
9.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
9.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration agreement.
